This Software Sales Agreement governs commercial purchases of Tribal subscriptions. It works together with our Software License Agreement and Terms of Service.
1. Services
TRIBAL agrees to provide subscription access to its cybersecurity platform and associated services.
2. Subscription Plans
Services are sold on annual subscription terms unless otherwise agreed in writing.
3. Fees
Customer shall pay all fees specified in the applicable order form or invoice.
4. Payment Terms
Invoices are due according to the payment schedule specified in the order.
Late payments may result in service suspension.
5. Taxes
Customer is responsible for applicable taxes, duties, and governmental charges.
6. Refunds
All fees are non-refundable.
TRIBAL may, in its sole discretion, provide refunds or credits in exceptional circumstances. No refund shall be deemed to establish a continuing obligation.
7. Renewals
Subscriptions may automatically renew unless cancelled in accordance with applicable subscription terms.
8. Termination
Either party may terminate for material breach if the breach remains uncured for thirty (30) days following written notice.
9. Confidentiality
Both parties shall maintain confidentiality of proprietary information exchanged under this Agreement.
10. Liability
Liability shall be limited as set forth in the Terms of Service and Software License Agreement.
